01What happened
By a contract dated 17 November 1990 the developer, A.N. Stasis Estates Plc, sold a property in Paphos to Peter and Maureen Mackenzie, who on 23 September 2019 assigned their rights under it to Natalia Efimova. The developer says it paid all taxes and fees on the property from 1991 until 2015, when the separate title deed was issued.
The developer sued all three for the outstanding balance of common expenses, municipal taxes, immovable property fees and sewerage charges, which it put at more than €130,000. In the alternative it asked the court to terminate the 1990 sale and to set aside the 2019 assignment as a fraud on the developer. Ms Efimova counterclaimed for the transfer of the property.
On 9 January 2026 the District Court of Paphos dismissed the developer’s action and, on the counterclaim, ordered the developer to transfer and register the property in Ms Efimova’s name within 90 days, provided that she paid all fees and taxes on the property within 45 days.
The developer appealed. It first asked the District Court to suspend its own judgment, as the rules require; that request was refused on 24 February 2026. Meanwhile Ms Efimova paid the taxes and fees and, by a letter of 25 February 2026, asked the developer to name a date for the transfer at the Land Registry. The developer did not comply, and on 4 March 2026 it applied to the Court of Appeal for a stay of execution pending the appeal.
The developer argued that Ms Efimova was insolvent and could sell the property and leave Cyprus, that the Mackenzies lived abroad at an unknown address, and that the appeal would be left without subject matter. Ms Efimova answered that she had lived in Paphos since 2015, had worked in Cyprus for the last ten years and owned another property in the Paphos district.
02What the Court of Appeal decided
The application was dismissed unanimously; the judgment was given by Thoma J. Under Part 41.7(1) of the Civil Procedure Rules 2023, unless the court orders otherwise an appeal does not suspend a judgment, and a stay must be sought first from the lower court, as the developer had done. Case law on the old Order 35 rule 18 still applies (Cyprus Engineering Stores (Nicosia) Ltd v. Siakallis, Civ. App. 222/2024, 18.7.2025).
The test is a balance between two things: the winning party’s normal expectation to enjoy the fruits of the judgment at once, and the need to ensure that a successful appeal is not rendered empty (Aristidou v. Aristidou (1985) 1 C.L.R. 649; Charalambous v. C. Nicolaides & A. Neophytou Co. (1985) 1 C.L.R. 737; Naftikos Omilos Pafou v. Cyprus Ports Authority (1991) 1 A.A.D. 1147). The party asking for a stay carries the burden of proving irreparable harm and exceptional circumstances (Demetriades Group of Companies Ltd v. APM Italian Type Ice-Cream Ltd (2017) 1(A) A.A.D. 275).
Applying that test, the Court found that what the developer really wanted was not to transfer the property, so that if it won the appeal it would be sure of collecting its money. That, the Court said, falls outside the purposes a stay serves. A stay is not a means of securing the collection of a claim, still less one that depends on the appeal succeeding.
The argument that the appeal would be left without subject matter also failed. The developer’s main claim, as pleaded, was for money; termination of the sale and annulment of the assignment were claimed only in the alternative. If the main claim succeeds on appeal, the Court can give judgment for the sums due, and the alternative remedies would not be granted anyway.
The allegations about Ms Efimova’s insolvency and possible departure were described as vague assertions and speculation, unsupported by specific evidence; the developer’s own director accepted that she worked in Cyprus and owned property there. The Mackenzies, for their part, had been represented by a lawyer at trial and had filed a respondent’s notice in the appeal.
Finally, the prospects of the appeal are a marginal factor, decisive only where success can be predicted with certainty, and the developer’s payment of the taxes over the years did not make success certain. The Court also held that an affidavit sworn before the application was filed was valid, because the application was an interlocutory step in a pending appeal (contrast Ivrou v. Mavrokonstanti (2017) 1(A) A.A.D. 177), and that the application was not late. Costs of €2,000 plus VAT were awarded to Ms Efimova.
03Why it matters
This is a ruling on an interim application; the appeal itself remains to be heard. Its value is in what it says about the period after a buyer wins: a seller ordered to transfer cannot use an appeal to keep the title as leverage for a separate money claim. It sits alongside the Court of Appeal’s June 2026 ruling against the same developer, Stasis Estates v. Director of Lands, that common expenses cannot block a trapped-buyer transfer.
04What it means for you
- Buyers and assignees who win: a judgment ordering transfer is enforceable straight away. An appeal by the seller does not, by itself, suspend it. Pay whatever the judgment makes a condition of the transfer and put the seller on written notice to attend the Land Registry, as Ms Efimova did.
- A money dispute is not a reason to withhold title: if the seller says you owe common expenses or other charges, that is a claim for money to be pursued by action, and a successful appeal can still end in a money judgment against you. It does not entitle the seller to sit on the property in the meantime.
- Sellers and developers considering a stay: come with evidence, not fears. General claims that the other side is insolvent or may leave Cyprus will not do; you must prove specific, irreparable harm and exceptional circumstances, and you must apply to the trial court first.

05Questions we are asked
The developer has appealed. Do I have to wait for the appeal before I get my title?
Not automatically. An appeal does not suspend the judgment unless a court orders a stay, and a stay will be refused where its real purpose is to give the seller security for a money claim. If the seller does not comply within the time the judgment allows, enforcement steps can be taken.
Can I take over someone else’s purchase contract and enforce it?
Yes, where the contract allows it and the assignment is valid. Here the original 1990 buyers assigned their rights in 2019, and the assignee counterclaimed and obtained the transfer order. Separately, under Law 81(I)/2011 a buyer protects the right to specific performance by depositing the sale contract at the Land Registry.

01Τι συνέβη
Με συμφωνία ημερομηνίας 17 Νοεμβρίου 1990 ο developer, A.N. Stasis Estates Plc, πώλησε ακίνητο στην Πάφο στους Peter και Maureen Mackenzie, οι οποίοι στις 23 Σεπτεμβρίου 2019 εκχώρησαν τα δικαιώματά τους από τη συμφωνία στη Natalia Efimova. Κατά τον developer, ο ίδιος κατέβαλλε όλους τους φόρους και τα τέλη του ακινήτου από το 1991 μέχρι το 2015, οπότε εκδόθηκε ο ξεχωριστός τίτλος.
Ο developer ενήγαγε και τους τρεις για το χρεωστικό υπόλοιπο κοινοχρήστων, δημοτικών φόρων, τελών ακίνητης ιδιοκτησίας και τελών αποχέτευσης, το οποίο υπολόγιζε σε πέραν των €130.000. Διαζευκτικά ζήτησε τον τερματισμό της πώλησης του 1990 και την ακύρωση της εκχώρησης του 2019 ως καταδολιευτικής. Η κα Efimova καταχώρισε ανταπαίτηση για τη μεταβίβαση του ακινήτου.
Στις 9 Ιανουαρίου 2026 το Επαρχιακό Δικαστήριο Πάφου απέρριψε την αγωγή του developer και, στην ανταπαίτηση, τον διέταξε να μεταβιβάσει και να εγγράψει το ακίνητο στο όνομα της κας Efimova εντός 90 ημερών, νοουμένου ότι εκείνη θα κατέβαλλε εντός 45 ημερών όλα τα τέλη και τους φόρους του ακινήτου.
Ο developer καταχώρισε έφεση. Ζήτησε πρώτα από το Επαρχιακό Δικαστήριο να αναστείλει την απόφασή του, όπως απαιτούν οι Κανονισμοί· το αίτημα απορρίφθηκε στις 24 Φεβρουαρίου 2026. Στο μεταξύ η κα Efimova πλήρωσε τους φόρους και τα τέλη και, με επιστολή ημερομηνίας 25 Φεβρουαρίου 2026, κάλεσε τον developer να ορίσει ημερομηνία για τη μεταβίβαση στο Κτηματολόγιο. Ο developer δεν συμμορφώθηκε και στις 4 Μαρτίου 2026 υπέβαλε στο Εφετείο αίτηση αναστολής εκτέλεσης μέχρι την εκδίκαση της έφεσης.
Ο developer υποστήριξε ότι η κα Efimova είναι αφερέγγυα και θα μπορούσε να πωλήσει το ακίνητο και να φύγει από την Κύπρο, ότι οι Mackenzie διαμένουν στο εξωτερικό σε άγνωστη διεύθυνση, και ότι η έφεση θα έμενε άνευ αντικειμένου. Η κα Efimova απάντησε ότι διαμένει μόνιμα στην Πάφο από το 2015, εργάζεται σταθερά στην Κύπρο τα τελευταία δέκα χρόνια και έχει και άλλο ακίνητο στην επαρχία Πάφου.
02Τι αποφάσισε το Εφετείο
Η αίτηση απορρίφθηκε ομόφωνα· την απόφαση έδωσε ο Δικαστής Θ. Θωμά. Βάσει του Μέρους 41.7(1) των Κανονισμών Πολιτικής Δικονομίας του 2023, εκτός αν το δικαστήριο διατάξει διαφορετικά η έφεση δεν αναστέλλει την απόφαση, και η αναστολή ζητείται πρώτα από το κατώτερο δικαστήριο, όπως έπραξε ο developer. Η νομολογία επί της παλαιάς Δ.35 θ.18 εξακολουθεί να εφαρμόζεται (Cyprus Engineering Stores (Nicosia) Ltd v. Σιακαλλή, Πολ. Έφ. 222/2024, 18.7.2025).
Το κριτήριο είναι η στάθμιση δύο παραγόντων: της φυσιολογικής προσδοκίας του επιτυχόντος διαδίκου να δρέψει αμέσως τους καρπούς της νίκης του, και της ανάγκης η ενδεχόμενη επιτυχία της έφεσης να μη μείνει χωρίς αντίκρισμα (Aristidou v. Aristidou (1985) 1 C.L.R. 649· Charalambous v. C. Nicolaides & A. Neophytou Co. (1985) 1 C.L.R. 737· Ναυτικός Όμιλος Πάφου v. Αρχής Λιμένων Κύπρου (1991) 1 Α.Α.Δ. 1147). Ο αιτητής φέρει το βάρος να αποδείξει ανεπανόρθωτη βλάβη και εξαιρετικές περιστάσεις (Demetriades Group of Companies Ltd v. APM Italian Type Ice-Cream Ltd (2017) 1(Α) Α.Α.Δ. 275).
Εφαρμόζοντας το κριτήριο, το Δικαστήριο διαπίστωσε ότι αυτό που πραγματικά επεδίωκε ο developer ήταν να μη μεταβιβάσει το ακίνητο, ώστε, αν επιτύχει στην έφεση, να διασφαλίσει την είσπραξη των χρημάτων του. Ο σκοπός αυτός, κατά το Δικαστήριο, κείται εκτός των σκοπών που εξυπηρετεί η αναστολή. Η αναστολή εκτέλεσης δεν λειτουργεί ως μέτρο διασφάλισης της είσπραξης απαίτησης, πολύ περισσότερο απαίτησης που τελεί υπό την αίρεση της επιτυχίας της έφεσης.
Απέτυχε και το επιχείρημα ότι η έφεση θα έμενε άνευ αντικειμένου. Η βασική αξίωση του developer, όπως δικογραφήθηκε, ήταν χρηματική· ο τερματισμός της πώλησης και η ακύρωση της εκχώρησης ζητήθηκαν μόνο διαζευκτικά. Αν η βασική αξίωση επιτύχει κατ’ έφεση, μπορεί να εκδοθεί απόφαση για τα οφειλόμενα ποσά, οπότε οι διαζευκτικές θεραπείες δεν θα επιτύχουν ούτως ή άλλως.
Οι ισχυρισμοί για αφερεγγυότητα και ενδεχόμενη αναχώρηση της κας Efimova χαρακτηρίστηκαν αοριστολογίες και εικασίες χωρίς συγκεκριμένη μαρτυρία· ο ίδιος ο διευθυντής του developer παραδέχθηκε ότι εργάζεται στην Κύπρο και έχει ακίνητο εγγεγραμμένο στο όνομά της. Οι Mackenzie, από την πλευρά τους, εκπροσωπήθηκαν από δικηγόρο στη δίκη και καταχώρισαν Ειδοποίηση Εφεσίβλητου στην έφεση.
Τέλος, οι προοπτικές επιτυχίας της έφεσης είναι παράγοντας οριακής σημασίας, που αποκτά βαρύτητα μόνο όταν η επιτυχία μπορεί να προβλεφθεί με βεβαιότητα, και το ότι ο developer πλήρωνε επί χρόνια τους φόρους δεν καθιστούσε την επιτυχία βέβαιη. Το Δικαστήριο έκρινε επίσης ότι η ένορκη δήλωση που υπογράφηκε πριν από την καταχώριση της αίτησης ήταν έγκυρη, επειδή η αίτηση ήταν ενδιάμεση διαδικασία σε εκκρεμή έφεση (πρβλ. Ίβρου v. Μαυροκωνσταντή (2017) 1(Α) Α.Α.Δ. 177), και ότι η αίτηση δεν καταχωρίστηκε με καθυστέρηση. Επιδικάστηκαν έξοδα €2.000 πλέον ΦΠΑ υπέρ της κας Efimova.
03Γιατί έχει σημασία
Πρόκειται για απόφαση επί ενδιάμεσης αίτησης· η ίδια η έφεση δεν έχει ακόμη εκδικαστεί. Η αξία της βρίσκεται σε όσα λέει για την περίοδο μετά τη δικαίωση του αγοραστή: πωλητής που διατάχθηκε να μεταβιβάσει δεν μπορεί να χρησιμοποιεί την έφεση για να κρατά τον τίτλο ως μοχλό πίεσης για ξεχωριστή χρηματική αξίωση. Συμπληρώνει την απόφαση του Εφετείου του Ιουνίου 2026 κατά του ίδιου developer, Stasis Estates v. Διευθυντή Κτηματολογίου, ότι τα κοινόχρηστα δεν εμποδίζουν τη μεταβίβαση σε εγκλωβισμένο αγοραστή.
04Τι σημαίνει για εσάς
- Αγοραστές και εκδοχείς που δικαιώθηκαν: η απόφαση που διατάσσει μεταβίβαση εκτελείται αμέσως. Η έφεση του πωλητή δεν την αναστέλλει από μόνη της. Καταβάλετε ό,τι θέτει η απόφαση ως προϋπόθεση της μεταβίβασης και καλέστε γραπτώς τον πωλητή να προσέλθει στο Κτηματολόγιο, όπως έπραξε η κα Efimova.
- Η χρηματική διαφορά δεν δικαιολογεί την παρακράτηση του τίτλου: αν ο πωλητής ισχυρίζεται ότι του οφείλετε κοινόχρηστα ή άλλα τέλη, πρόκειται για χρηματική αξίωση που διεκδικείται με αγωγή, και μια επιτυχής έφεση μπορεί να καταλήξει σε χρηματική απόφαση εναντίον σας. Δεν δικαιολογεί όμως τον πωλητή να κρατά στο μεταξύ το ακίνητο.
- Πωλητές και developers που σκέφτονται αναστολή: χρειάζεται μαρτυρία, όχι φόβοι. Γενικοί ισχυρισμοί ότι ο αντίδικος είναι αφερέγγυος ή μπορεί να φύγει από την Κύπρο δεν αρκούν· πρέπει να αποδειχθεί συγκεκριμένη, ανεπανόρθωτη βλάβη και εξαιρετικές περιστάσεις, και η αίτηση γίνεται πρώτα στο πρωτόδικο δικαστήριο.

05Ερωτήσεις που μας γίνονται
Ο developer καταχώρισε έφεση. Πρέπει να περιμένω την έφεση για να πάρω τον τίτλο μου;
Όχι αυτόματα. Η έφεση δεν αναστέλλει την απόφαση εκτός αν το δικαστήριο διατάξει αναστολή, και η αναστολή απορρίπτεται όταν ο πραγματικός σκοπός της είναι να εξασφαλίσει τον πωλητή για χρηματική αξίωση. Αν ο πωλητής δεν συμμορφωθεί εντός της προθεσμίας της απόφασης, μπορούν να ληφθούν μέτρα εκτέλεσης.
Μπορώ να αναλάβω τη συμφωνία αγοράς άλλου προσώπου και να την εκτελέσω;
Ναι, εφόσον η συμφωνία το επιτρέπει και η εκχώρηση είναι έγκυρη. Εδώ οι αρχικοί αγοραστές του 1990 εκχώρησαν τα δικαιώματά τους το 2019, και η εκδοχέας με ανταπαίτηση εξασφάλισε διάταγμα μεταβίβασης. Ξεχωριστά, βάσει του Ν. 81(Ι)/2011 ο αγοραστής προστατεύει το δικαίωμα ειδικής εκτέλεσης καταθέτοντας τη σύμβαση πώλησης στο Κτηματολόγιο.
